Who can decide to change director?

Before you can get started changing the management of your company, it must first be clarified who should formally make the decision.

If your company has a board of directors, it is the one who has to decide on a change in the executive board. If the company is solely headed by one or more directors, the decision must be made by the general meeting.

Please note that our decision report for the election of a new director can only be used by capital companies ( ApS and A/S ) and therefore not by funds, associations and the like, who must have a new director.

Change of director in company with board of directors

If your ApS or A/S has a board of directors, as mentioned, it is this that must make the decision. This is regardless of whether it is a matter of dismissal or employment of a new director. The change is implemented by holding a board meeting, where the decision to make the change is adopted. If all the board members agree, the meeting can take place by telephone, by exchanging emails or at a physical meeting.

What is crucial is that the meeting must result in a meeting report, which formally documents that the board has discussed the issue and has agreed to make the decision to change the executive board.

Change of director of company without board of directors

If your organisation operates without a board of directors, and is solely managed by one or more directors, the decision to change management lies in the hands of the owners of the company, who hold shares or stakes in it. To make a decision, a general meeting must be held where the owners provide their consent. While this may seem like a daunting process, if all owners are in agreement, holding a desktop general meeting may suffice. This type of meeting is not held in person, but merely involves documentation outlining the decisions made by the owners.
