How to change the company name?

If your company is considering changing its name, please note that it entails amendments to the company’s articles of association. As such, a general meeting must be convened, where the owners can decide on the proposed name change and adopt the necessary amendments to the articles of association.

If the owners do not agree

It would be advisable to coordinate a physical general meeting where votes can be cast, ensuring that the decision is not subjected to dispute by any of the owners. It is important to note that a statute change requires a minimum of ⅔ of the owner’s votes to be implemented.

What is a binary name?

A company may choose to use a bin name as a secondary name, especially if it conducts business under multiple names or brands. For instance, if Sørens Slaughter ApS provides catering services, it might be beneficial to register the name Sørens Catering ApS as a nickname.

By registering the bin name, other companies are prohibited from using it as long as the registrant possesses the rights to the name. It is therefore prudent to register an old name as a bin name to safeguard against any future exploitation of your company’s brand equity.

At DKkonsult, a company can add up to five bin names. Notably, the Danish Business Authority charges DKK 1,000 per bin name for any additional registrations beyond the allowable five names.

The statutes must also be changed

It is essential to note that the company’s articles of association require a modification so that the new company name is reflected in the documentation. Should the previous company name be included as well, it must also be mentioned in the statutes.
